Member Terms of Service

I. Service Description

This service is a membership platform provided by Estab-zenith Integrated Digital Technology Co., Ltd., with core functions including a Credits Center, request management, project progress tracking, and AI requirement analysis history. The Company reserves the right to modify, suspend, or terminate all or part of the service at any time.

II. Membership Eligibility

To register as a member, you must be at least 18 years of age, or be a legal representative with full legal capacity, and must provide true, accurate, and complete registration information. Each user / legal representative is limited to one account.

III. Account Security & Responsibility

Members are responsible for safeguarding their account and password, and must not transfer or authorize others to use them in any way. If unauthorized use of an account is discovered, the Company must be notified immediately.

IV. Credit System

• Credit Definition1 credit = 1 person-hour = NT$2,500, the billing unit for this service
• Bonus Tier CalculationA first-time single top-up of 50+ credits earns a fixed one-time bonus of 3 credits. Standard top-up tiers earn the fixed bonus for that threshold. Both bonuses can stack.
• Minimum Deduction0.5 credits (30 minutes); any time under 30 minutes is rounded up to 0.5 credits
• Emergency SupportUnscheduled tasks requiring same-day/holiday handling are billed at 1.5 credits/hr
• Cross-Project UseCredits under the same company/individual tax ID account can be flexibly allocated across projects
• ValidityFormally purchased credits never expire and are non-refundable for cash
• InvoicingAn invoice is issued at the time of each top-up payment; a 5% business tax is added
• Credit Usage HistoryView the full credit consumption history and remaining balance on the project page
• Credit TransferCredits cannot be transferred to another account or company
• AI-to-Quote ConversionAn AI analysis report can be converted into a formal request; once the spec is confirmed, credits are deducted to generate a formal quote
• Hours DisputesSigning a formal quote constitutes agreement to the credit deduction, and credits cannot be refunded. Any questions about hour calculations should be discussed with your dedicated PM before signing the quote.

V. Payment & Fees

All fees are calculated in New Taiwan Dollars (TWD), tax included. Please contact your dedicated PM regarding payment methods and invoicing. If payment is not made as agreed, the Company may suspend the service until payment is settled in full.

VI. Intellectual Property

All content on this service platform, including formal quotes and AI-generated planning reports, is owned by the Company and protected under copyright law. No content may be copied, distributed, or modified without written authorization. Ownership of intellectual property arising from projects developed by the Company shall be governed by the individual development agreement.

VII. Prohibited Conduct

You may not provide false information, interfere with the operation of the service, access another member's account without authorization, violate applicable laws and regulations, or use this service to commit fraud or other unlawful acts.

VIII. Service Suspension & Account Termination

The Company may suspend the service for maintenance or due to force majeure. Members who wish to terminate their account should email service@estab-zenith.com with the subject line "Account Termination Request," providing their registered email and the reason for termination; the Company will confirm and process the request within 5 business days. Upon account termination, unused formal credits will not be refunded in cash, and related data will be retained in accordance with Article 10 of these Terms and the Privacy Policy. The Company may terminate an account without prior notice for violations of these Terms.

IX. Disclaimer

This service is provided on an "as is" basis, without warranty of uninterrupted or error-free operation. The Company's total liability shall not exceed the amount you actually paid in the six months preceding the incident.

X. Amendments & Governing Law

The Company reserves the right to amend these Terms, which take effect upon posting on the platform. Continued use constitutes acceptance. These Terms are governed by the laws of the Republic of China (Taiwan), and any disputes shall be subject to the exclusive jurisdiction of the Taichung District Court, Taiwan, as the court of first instance.
